Avianca Group Announces Pricing of US$600 million aggregate principal amount of its new 9.500% Senior Secured Notes due 2031
January 14, 2026 — Avianca Group International Limited today announced that on January 13, 2026, its subsidiary Avianca Midco 2 PLC (the “Company”) priced an offering of U.S.$600,000,000 aggregate principal amount of its new 9.500% Senior Secured Notes due 2031 (the “Notes”). The terms of the Notes and the collateral securing the Notes will be identical to its 9.625% Senior Secured Notes due 2030.
The Company intends to use the net proceeds from the offering of the Notes to redeem a portion of its 9.000% Senior Secured Notes due 2028 (the “2028 Notes”) and for general corporate purposes, extending the maturity of its indebtedness. This press release does not constitute a redemption notice for the 2028 Notes.
Consummation of the offering of the Notes is expected to occur on January 28, 2026, subject to certain closing conditions.
The Notes have not been, and will not be, registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. The Notes are being offered to qualified institutional buyers in reliance on the exemption from registration provided by Rule 144A under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons in offshore transactions in reliance on Regulation S under the Securities Act.
